Terms and Conditions

These Terms and Conditions ("Terms") govern the use of Spark Curiosity (the "Service") provided by Spark Curiosity Ltd. ("we", "us", or "our"). By accessing or using the Service, you ("you" or "User") agree to be bound by these Terms.

1. Description of Service

  • The Service provides users with tailored learning and development plans, including recommended learning modules, resources, assessments, and career guidance.
  • The Service is offered as a subscription-based Software as a Service (SaaS).

2. Eligibility

  • You must be at least 18 years old to use the Service.
  • You represent and warrant that you have the legal right and authority to enter into these Terms.

3. Account Registration

  • To use the Service, you must create an account by providing accurate and complete information.
  • You are responsible for the confidentiality of your account credentials and all activity on your account.
  • You must notify us immediately of any suspected unauthorized use of your account.

4. Subscription and Payment

  • The Service is offered on a subscription basis and prices may vary for different plans.
  • Payment will be processed through the invoice provided to your organisation, in line with your heads of terms. 
  • Subscriptions automatically renew unless canceled by you before the renewal date.
  • We reserve the right to change subscription fees with reasonable notice.

5. Intellectual Property

  • The Service and all content, including text, graphics, logos, and software, are the property of Spark Curiosity Ltd. or its licensors and are protected by copyright and other intellectual property laws.
  • You are granted a limited, revocable license to use the Service for your personal, non-commercial use only, within the terms of your active subscription.

6. User Content

  • You may provide feedback, suggestions, or other content ("User Content") through the Service.
  • By submitting User Content, you grant us a non-exclusive, worldwide, transferable license to use, reproduce, modify, and display the User Content.
  • You are responsible for ensuring that your User Content does not infringe on any third-party rights.

7. Prohibited Conduct

You must not use the Service for:

  • Illegal or fraudulent purposes
  • Distributing spam, viruses, or other harmful software
  • Infringing on the intellectual property rights of others
  • Interfering with the operation of the Service or other users' use

8. Disclaimer of Warranties

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SERVICE OR ANY CONTENT, INCLUDING RECOMMENDATIONS OR MATERIALS GENERATED OR PROCESSED USING ARTIFICIAL INTELLIGENCE (AI). AI-GENERATED OUTPUT MAY CONTAIN BIASES, ERRORS, OR INACCURACIES. ALWAYS EXERCISE YOUR OWN JUDGMENT AND SEEK ADDITIONAL VERIFICATION WHERE NECESSARY.

9. Limitation of Liability

  • IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR MAXIMUM LIABILITY TO YOU FOR ANY CLAIMS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

  • You agree to indemnify and defend Spark Curiosity Ltd. and its affiliates against any claims, losses, or damages arising from your use of the Service or your breach of these Terms.

11. Termination

  • We may terminate or suspend your account at any time for any reason, with or without notice.
  • Upon termination, you will lose access to the Service and all rights granted under these Terms.

12. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed per the laws of Jersey
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of Jersey.
